In consideration of your complying with our above request, we hereby agree as follows :-
1. To indemnify you, your servants and agents and to hold all of you
harmless in respect of any liability, loss, damage or expense of whatsoever nature which you may sustain by reason of issuing the clean bills of lading in accordance with our request.
2. In the event of any proceedings being commenced against you or any of
your servants or agents in connection with the issuance of clean bills of lading as aforesaid, to provide you or them on demand with sufficient funds to defend the same.
3. If, in connection with the issuing clean bills of lading for the cargo as
aforesaid, the ship, or any other ship or property in the same or associated ownership, management or control, should be arrested or detained or should the arrest or detention thereof be threatened, or should there be any interference in the use or trading of the vessel (whether by virtue of a caveat being entered on the ship’s registry or otherwise howsoever), to provide on demand such bail or other security as may be required to prevent such arrest or detention or to secure the release of such ship or property or to remove such interference and to indemnify you in respect of any liability, loss, damage or expense caused by such

arrest or detention or threatened arrest or detention or such interference, whether or not such arrest or detention or threatened arrest or detention or such interference may be justified.
4. The liability of each and every person under this indemnity shall be joint
and several and shall not be conditional upon your proceeding first against any person, whether or not such person is party to or liable under this indemnity.
5.All disputes arising out of this indemnity shall be arbitrated at Hong Kong in accordance with the \"Hong Kong Maritime Arbitration Clause\English law to apply, the arbitrators should be commercial men. For disputes where the total amount claimed by either party does not exceed US$ 50,000.00 the arbitration shall be conducted in accordance with the HKIAC Small Claims Procedure.\"

2． 如有人因为你方应我方要求签发提单而对你方、你方的雇员或代理人提起诉讼或索赔，我方将随时提供足够的资金和所须证明材料，供你方抗辩之用。
3． 当事船舶，你方或你方的雇员或代理人属下其他船舶或财产为如上述签发提单所累而遭扣押、查封或滞留，或有人威胁要对上述船舶或财产进行扣押、查封或滞留，我方将应你方要求随时提供足够的保释金或其他索要的担保以避免或解除扣押、查封、或滞留或威胁；同时，不论这种扣押、查封、滞留或威胁是否正当，我方将赔偿你方由此承受的责任、灭失、损害或费用。
4． 本保函中的保证人，不论是合约一方当事人或仅承担保证责任，将互相承担连带责任，该责任的承担不以你方向任何人提起诉讼为前提条件。
5．由本保函所引起的一切争议应根据“海事仲裁规则”在进行仲裁，仲裁员应为商业航运人员，适用法为英国法。若任何一方提出的争议总额不超过50000美元，则仲裁应适用国际仲裁中心小额诉讼程序进行。
